TERMS & CONDITIONS

SCOPE

Our offers are based on the present conditions. These conditions are an integral part of every contract. Changes to these conditions require an express and written agreement between the parties. Insofar as the present conditions contradict the contractual partner’s contractual conditions, these contractual conditions take precedence.

PRIVACY

The use of customer data is regulated in the privacy policy. Explicit reference is made to the privacy policy, which is an integral part of these T&C.

BINDING OF THE OFFER

We reserve the right to make changes due to construction or sales reasons. In particular, the prices stated in the offer are subject to change and can be changed at any time. If a customer’s declaration of acceptance relates to an offer to which we no longer feel bound, we will immediately notify the customer accordingly.

CONCLUSION OF CONTRACT

The transactions and sales made by our representatives or travelers are subject to written confirmation by authorized signatories of Tschudin + Heid AG.

PRICES

The prices stated in the offer are for the quantity categories on which the request is based, excluding VAT, freight, postage and packaging. They are based on the costs, duties and exchange rates known on the day of the offer.

QUANTITY TOLERANCE

A technical delivery or short delivery of the agreed quantity of ± 10% is reserved.

TERMS OF PAYMENT

Our invoices are payable within 30 days of the invoice date, net without discount. If a down payment or advance payment has been agreed, non-compliance with our terms of payment releases us from the delivery obligation, but does not release the buyer from his obligation to accept. After notice of default, we are entitled to charge default interest and reminder fees and the customer is liable for the accidental loss of the object of purchase.

DELIVERY TIMES

If the contract does not specify a delivery date but a delivery period, the delivery period begins at the earliest with the conclusion of the contract, if necessary only after receipt of all information and documents required by the customer. The agreed delivery dates and delivery times will be met if possible. However, they are subject to unforeseen events (e.g. lack of raw materials or energy, malfunctions, etc.). Delays will be notified to the customer as soon as they are foreseeable. Call orders are to be defined as such and must be called up so that the last delivery is completed no later than 12 months from the order date.

BENEFIT AND DANGER

Pass to the buyer with the shipment, is as soon as the goods leave our house. The insurance of the goods against damage and losses during transport is the responsibility of the buyer. If the customer is in default, he is liable for the accidental loss of the goods.

PACKAGING

The packaging will be invoiced by the supplier and will not be taken back. However, if it has been designated as the property of the supplier, it must be returned to the place of departure free of charge by the customer.

OBLIGATION TO INSPECT AND NOTIFY

The customer is obliged to check the quality and quantity of the goods within 5 working days, calculated from receipt, and to notify us immediately in writing in the event of defects, otherwise the goods are considered approved. In the event of complaints, the labels of the original packaging must be enclosed.

LIABILITY

If the goods are defective, we will either replace them at our discretion free of charge with new, faultless goods or repair them. The right to change and reduction is excluded. Further claims are excluded. Our advice is given to the best of our knowledge, but without guarantee. The customer has no claims against Tschudin + Heid AG with regard to losses and damage caused by the freight forwarder.

GUARANTEE

If a guarantee has been agreed, it begins with the receipt of the goods. If this has to be taken back during the guarantee period, it will be replaced taking into account the natural wear and tear caused by the operation. The right to change or reduction is excluded. We do not assume any further liability.

MOLDS AND TOOLS

Remain our property and property, even with partial or full cost sharing by the customer, and we are under no obligation to provide these molds and tools. However, we undertake to use these molds and tools exclusively for the customer concerned, as well as for careful handling and storage. Costs arising from use and wear and tear are always borne by the customer. These molds and tools are kept for 5 years after the last use.

RETENTION OF TITLE

The ownership of the delivered goods remains with us until full payment. We are entitled at any time to have an entry in the retention of title register.

PROPERTY RIGHTS

Brands, drawings and projects remain our property. It is not permitted to use, reproduce or pass them on to third parties without our express permission.

APPLICABLE LAW; PLACE OF FULFILLMENT; JURISDICTION

Only Swiss law applies to this contract, to the exclusion of Viennese sales law. The place of performance and exclusive place of jurisdiction for all disputes arising from or in connection with this contract (also with regard to the question of the conclusion of the contract and its validity) is Waldenburg BL (Switzerland).
